Terms of Service

Last updated: September 1, 2026

These terms govern the use of this website and the formation of business-to-business contracts between Shanghai Jiushu Whole-House Custom Furniture Co., Ltd. (“JIUSHU”) and business buyers. By submitting an inquiry or placing an order, you accept these terms.

Nature of our services

JIUSHU is a business-to-business manufacturer of whole-house custom furniture: kitchen cabinets, wardrobes, wall panels and interior doors. We supply made-to-order manufacturing to companies — importers, project contractors, developers, distributors, retailers, and brands. We do not sell to individual consumers, and nothing on this website constitutes a retail offer or a binding quotation.

Quotations

All prices on this website, if shown, are indicative. Written quotations are valid for 15 days from the issue date unless stated otherwise, and are subject to confirmation of final specifications, quantities, materials, and exchange rates at order time.

Orders, MOQ, and lead times

An order is formed only when both parties sign a Proforma Invoice (PI). Minimum order quantities and production lead times stated on product pages or in quotations are estimates; the signed PI is the sole binding document for quantity, price, specification, lead time, and trade terms. JIUSHU will notify the buyer promptly of any circumstance likely to affect the agreed delivery date.

Payment

Standard payment terms are 30% T/T deposit with order and 70% T/T before shipment against copy of bill of lading, unless otherwise stated in the PI. Irrevocable letters of credit are accepted for orders above an agreed threshold, with charges for the buyer's account. Orders are not released to production until the deposit is received.

Samples and drawings

Pre-production samples are billed at cost and normally credited against the corresponding bulk order. Shop drawings must be signed off by the buyer before mass production; production follows the signed drawings, and the buyer is responsible for the accuracy of documents they supply.

Quality and claims

Goods are manufactured to the signed specifications and inspected before shipment; buyers may arrange third-party pre-shipment inspection at their cost. Claims for quantity or quality discrepancies must be notified in writing within 15 days of container devanning, with photographs, and are handled per the warranty terms stated in the PI.

Intellectual property

Buyer-supplied designs, drawings, trademarks, and branding remain the buyer's property and are used solely to fulfill that buyer's orders. JIUSHU's own designs, tooling, and catalog designs remain the property of JIUSHU unless a written agreement states otherwise. Catalog designs supplied to a buyer are not automatically exclusive; exclusivity requires a separate written agreement.

Limitation of liability

To the maximum extent permitted by law, JIUSHU's aggregate liability under any order is limited to the value of that order. JIUSHU is not liable for indirect or consequential losses, including lost profits, lost business opportunities, or delay costs, provided that JIUSHU has used reasonable endeavors to meet the agreed schedule. Force majeure events (including raw material shortages, port congestion, and government restrictions) extend deadlines accordingly.

Governing law and disputes

These terms and any contract formed under them are governed by the laws of the People's Republic of China. Disputes shall first be resolved through good-faith negotiation; failing that, they are submitted to the competent court at JIUSHU's registered address, unless the PI states that disputes go to the China International Economic and Trade Arbitration Commission (CIETAC) in Shanghai.
